These Terms of Use (“Terms”) govern your access to and use of the Geode Database website located at https://geodedb.com (the “Site”), including all content, services, tools, and features available through the Site. The Site is owned and operated by CodePros (“CodePros,” “we,” “us,” or “our”).

BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE.

1. Acceptance of Terms

By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and CodePros.

We reserve the right to modify these Terms at any time. Your continued use of the Site following any changes constitutes your acceptance of the modified Terms. We will indicate the date these Terms were last updated at the top of this page.

2. Description of Services

Geode is an open source graph database project. Through the Site, we offer:

  • Information about Geode features, releases, and roadmap updates
  • Documentation, tutorials, and reference materials
  • Access to releases, client libraries, and example code
  • Community resources and contribution guidance
  • News, updates, and educational content

Important Distinction: The Site provides general information and resources. Use of the Geode software is governed by the applicable open source license terms and any additional notices included with releases. These Terms govern only your use of the Site itself and do not create a professional services relationship or consulting engagement between you and CodePros.

3. Eligibility and User Accounts

3.1 Eligibility

The Site is intended for use by businesses and business professionals. You must be at least 18 years of age and have the authority to bind your organization to these Terms. By using the Site, you represent and warrant that you meet these requirements.

3.2 Account Registration

Certain features of the Site, such as optional subscriptions, feedback forms, or community participation, may require you to provide contact information or create an account with a third-party service. When you do, you agree to:

  • Provide accurate, current, and complete information, including your name, email address, and general location (if provided)
  • Maintain and promptly update your information
  • Maintain the security and confidentiality of any account credentials
  • Promptly notify us of any unauthorized access to or use of your account
  • Accept responsibility for all activities that occur under your account

3.3 Two-Factor Authentication

For enhanced security, we may require or offer two-factor authentication (2FA) for account access. You agree to cooperate with any 2FA requirements and to maintain the security of any authentication devices or methods you use.

4. Intellectual Property Rights

4.1 Geode Content

All content on the Site, including but not limited to text, graphics, logos, images, documentation, release notes, examples, and the overall design and functionality of the Site (collectively, “Geode Content”), is the exclusive property of CodePros or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Geode Content solely for your personal or internal business purposes in connection with evaluating or using Geode. You may not:

  • Copy, reproduce, distribute, republish, download, display, post, or transmit any Geode Content except as expressly permitted
  • Modify, create derivative works from, reverse engineer, decompile, or disassemble any proprietary tools or software
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use any Geode Content for commercial purposes without our express written permission
  • Frame or mirror any portion of the Site without our prior written authorization

4.2 Open Source Software

Certain software, tools, or code made available through the Site may be subject to open source licenses. Such open source materials are governed by the applicable open source license terms, which will be clearly identified. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.

4.3 User-Submitted Content

If you submit any content, feedback, suggestions, ideas, or other materials to us through the Site (“User Content”), you grant CodePros a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not violate any third-party rights or applicable laws.

5. Acceptable Use and Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You specifically agree NOT to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or that may harm CodePros or users of the Site
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, servers, networks, or databases connected to the Site
  • Attack the Site via a denial-of-service attack, distributed denial-of-service attack, or other malicious activity
  • Use any robot, spider, scraper, or other automated means to access the Site without our express written permission
  • Introduce any viruses, trojans, worms, malware, or other harmful code
  • Use the Site to transmit or procure the sending of any unsolicited advertising or promotional material
  • Impersonate or attempt to impersonate CodePros, a CodePros employee, another user, or any other person or entity
  • Circumvent or disable any security-related features or features that prevent or restrict use of any content
  • Use any information obtained from the Site to harass, abuse, or harm another person or entity

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these prohibitions.

6. Privacy and Data Collection

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Site, you consent to our collection and use of personal information as described in the Privacy Policy.

No information or content on the Site creates a professional services relationship between you and CodePros.

  • Any tools, examples, or recommendations will meet your specific requirements

7.3 “AS IS” and “AS AVAILABLE” Disclaimer

THE SITE AND ALL CONTENT, TOOLS, SOFTWARE, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR SECURITY.

CodePros does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.

The Site may contain links to third-party websites, services, or resources. These links are provided for your convenience only. CodePros has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that CodePros shall not be responsible or liable for any damage or loss caused by your use of any third-party content or services.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEPROS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
  • DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM SECURITY BREACHES, CYBER ATTACKS, OR UNAUTHORIZED ACCESS
  • DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SITE
  • DAMAGES RESULTING FROM ANY RELIANCE ON INFORMATION OR CONTENT ON THE SITE
  • DAMAGES RESULTING FROM ERRORS, MISTAKES, OR INACCURACIES IN CONTENT
  • DAMAGES FROM UNAUTHORIZED ACCESS TO YOUR TRANSMISSIONS OR DATA

THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CODEPROS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CODEPROS AND ITS AFFILIATES FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO CODEPROS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless CodePros, its affiliates, and their respective directors, officers, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from or related to:

  • Your use or misuse of the Site
  • Your violation of these Terms
  • Your violation of any rights of another party, including intellectual property rights
  • Any User Content you submit or transmit through the Site
  • Your breach of any representation or warranty contained in these Terms

This indemnification obligation will survive termination of these Terms and your use of the Site.

10. Compliance and Regulatory Matters

Information on the Site about security, compliance, or operational practices is provided for general informational purposes. It should not be interpreted as legal, compliance, or regulatory advice for your organization. You are responsible for determining and meeting your own regulatory and compliance obligations.

11. Software, Tools, and Downloads

11.1 Open Source Licensing

Geode and related tools available through the Site are provided under open source licenses, which govern your rights to use, modify, and distribute the software. You agree to comply with the applicable license terms included with each release.

11.2 Download Risks

You assume all risks associated with downloading and using software or tools from the Site. We recommend verifying checksums and scanning downloads with appropriate security tools.

11.3 Configuration Responsibility

You are solely responsible for configuring, securing, and operating Geode in your environment, including access controls, data protection, and compliance requirements.

12. Community Platforms and Third-Party Services

The Geode community may use third-party platforms (such as GitLab, issue trackers, or chat services) for collaboration and support. Your use of those platforms is subject to the terms and policies of the respective providers. CodePros is not responsible for the availability, security, or content of third-party services.

If you share code, logs, or other materials through community channels, you are responsible for ensuring you have the right to share them and that they do not include sensitive or confidential information.

13. Downloadable Content

The Site may offer downloadable resources, including releases, client libraries, documentation, and software. When you download content from the Site:

  • You receive a limited license for your internal business use only, unless otherwise specified
  • You may not redistribute, resell, or republish downloadable content without permission
  • Open source downloads remain subject to their respective open source licenses
  • You assume all risks associated with downloading and using content
  • We recommend scanning all downloads with appropriate security software

14. Communications and Marketing

By providing your contact information or subscribing to our newsletter, you consent to receive communications from CodePros, including:

  • Service-related announcements and Geode updates
  • Educational content, blog posts, and release notes
  • Information about Geode-related events or offerings
  • Security advisories and release notices relevant to Geode

You may unsubscribe from marketing communications at any time by following the unsubscribe instructions in our emails or by contacting us directly. However, we may still send you transactional or service-related communications.

15. Termination

We reserve the right, in our sole discretion, to terminate or suspend your access to all or part of the Site, with or without notice, for any reason, including without limitation:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Security concerns or to prevent harm to our systems or other users
  • At our discretion for operational, business, or legal reasons

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of North Carolina, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Raleigh, North Carolina, and judgment on the award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may seek equitable or injunctive relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

16.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Site, constitute the entire agreement between you and CodePros regarding your use of the Site and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

17.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time without notice to you.

17.5 Force Majeure

CodePros shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

17.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations, including U.S. export control laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

17.7 U.S. Government Rights

If you are a U.S. Government entity, all software and documentation available through the Site are “commercial items” as defined at 48 C.F.R. 2.101, consisting of “commercial computer software” and “commercial computer software documentation.” Use, duplication, and disclosure by the U.S. Government is subject to the restrictions set forth in these Terms.
